Terms of service
Conditions under which Vectel BV provides services.
These terms apply to every quote, contract, and engagement between Vectel BV ("we") and a client ("you"), unless we expressly agree otherwise in writing.
Scope
These terms govern all services we offer: Managed IT retainers, Development & Consultancy projects, Automation work, and any product subscriptions. They override conflicting purchase conditions of the client unless we accept those conditions in writing.
Quotes and acceptance
Quotes are valid for 30 days from issue, unless otherwise stated. A signed quote, written email confirmation, or first invoice payment counts as acceptance and creates a binding contract under these terms.
Delivery and changes
We deliver services in good faith, using the simplest tools that work. Estimated delivery dates are best-effort, not deadlines, unless explicitly marked as a fixed date in the quote.
Mid-project changes that materially expand scope are quoted separately. We will not silently absorb scope creep.
Pricing and payment
Prices are stated in EUR, exclusive of VAT (BTW), unless stated otherwise. Invoices are payable within 14 days of issue. Late payment incurs statutory commercial interest under Dutch law (article 6:119a BW).
Managed IT retainers are billed in advance per month. Development engagements are billed by the milestone or by the day, depending on the agreed structure.
Liability
Our aggregate liability under any engagement is limited to the amounts paid by the client to us in the six months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages, including loss of profit, loss of data not under our active management, or business interruption.
Nothing in these terms excludes liability that cannot be excluded by Dutch law (e.g. for intent or gross negligence).
Termination
Managed IT retainers can be cancelled by either party with one month's notice, effective at the end of a calendar month.
Fixed-scope projects may be terminated by either party for material breach not cured within 14 days of written notice. On termination we deliver work-in-progress and invoice for hours and out-of-pocket costs incurred up to the termination date.
Governing law and jurisdiction
These terms are governed by Dutch law. Disputes are submitted to the competent court in Utrecht, the Netherlands, unless mandatory law specifies a different venue.
